Most commercial damage in the UAE is done in a contract that was signed to close a deal, not to survive a dispute. UAEAZ drafts, reviews and negotiates the agreements companies actually use: supply, services, agency, shareholders, NDAs, and the terms that sit on a website as if they were optional.
This is not template shopping. The governing law, the forum, the payment mechanics, and who can terminate are the file.
What we draft and review
- shareholder and joint-venture agreements
- sale of shares and business-transfer documents
- supply, distribution and agency contracts
- professional services and consultancy retainers
- NDAs, term sheets and heads of terms that need to mean something
- standard terms of business for UAE operations
- side letters that quietly rewrite the main agreement
Where the company sits in DIFC, ADGM, a free zone or onshore mainland, the contract has to match that map. A DIFC governing-law clause in an onshore operating company is not clever if nobody intended the court.
Negotiation
We negotiate from the draft, not from a mood. If a counterparty’s paper shifts risk entirely onto you — unlimited indemnity, vague scope, no cap, inconvenient forum — we mark it and we explain the commercial cost of leaving it.
When the contract is already signed
A review after signature is still useful: limitation, termination, notice clauses, and whether a breach letter should be sent before anyone files. If the dispute has already left the page, the file moves to civil and commercial litigation.
Send the latest draft or the signed PDF. We work from the document, not from a summary of what people thought it said.
Abu Dhabi, Dubai and worldwide
This practice is available to clients in Abu Dhabi, Dubai, Sharjah and the northern Emirates, and to clients instructing UAEAZ from overseas by email or video. Court advocacy is conducted by licensed advocates before the relevant UAE court and level. Advice is given in Arabic and English.
To instruct counsel, send a short outline of the facts, any deadline, and the papers you have via our consultation form. An enquiry does not create a client relationship until we confirm the engagement in writing.
